M&A Associate Primary Duties: Oversee M&A and joint venture transactions. Conduct initial due diligence. Prepare due diligence reports. Elaborate and analyze M&A and JV documents and contractual terms. Engage and collaborate with external counsels, support planning their work and fee payment. Conduct detailed business case reviews. Take active part in negotiations with the related parties with regard to terms, completion and executions of transactions. Prepare internal reports and other documents as required. Required: Higher professional education. Postgraduate law degrees (Master of Law, LLM, MLF) from British, American or European universities or schools is a plus. Additional higher professional education in Economics is welcome. Excellent knowledge of Russian corporate and contract law, competition law, private international law. Exceptional communication skills, outside-the-box thinker. Strong organizational skills. Basic knowledge of English contract and corporate law. Preferred: Work experience in international law firms or large companies dealing with mergers and acquisitions, creation of joint ventures, foreign capital attraction. Strong knowledge of bank finance law in Russia, trade finance and derivatives transactions. Knowledge of US and EU sanctions against Russia; Legal representation in state courts and international arbitration institutions International litigation practice.
